Acquisition Due Diligence
Conducted a study to determine the strengths and weaknesses of an acquisition target's competitive position in terms of the quality, technology and effectiveness of its products and services; its field service technical and service capability; and the adequacy of its facilities. The client adopted the study's recommendation to not consummate the acquisition.
Resolution of Shareholder Disputes
Successfully mediated a long simmering and complicated multi-generational family shareholder dispute involving four law firms and two accounting firms. Colmen Menard resolved this dispute by implementing a shareholder redemption program that enabled one family branch to purchase the equity interest of the other family branch.
Estate Planning
Assisted a family owned consumer products business in evaluating alternatives for achieving objectives for various groups of shareholders. This analysis led to a combination of the sale of selected assets, the sale/leaseback of various facilities and the repurchase of certain stockholder interests.
Assistance With Divorce Proceedings
Assisted one of the parties in divorce proceedings in valuing matrimonial assets including ownership of a multi-national multi-subsidiary manufacturing business. This enabled the development of tax efficient solutions for dividing assets among the parties and other family members in a fair and equitable manner. All the parties and their legal and other advisors agreed to the proposed resolution.
Bankruptcy Proceedings
In conjunction with the bankruptcy department of a major law firm, Colmen Menard provided various financial advisory services to a debtor-in-possession of a manufacturing company.
Troubled Company Counseling
In conduction with a major Big Four accounting firm, Colmen Menard provided valuation and other services to a private manufacturing company. This allowed for a reorganization and restructuring on a out-of-court basis.
Financial Restructuring/Reorganization
Assisted a troubled distribution company in restructuring its vendor, bank and other creditor obligations including a program to downsize the business.
Business Liquidation
Assisted a privately owned troubled business in evaluating its alternatives, which led to providing a variety of services including coordinating the efforts of an auctioneering firm.

Assisted a large private manufacturing company in evaluating the strengths and weaknesses of a particular product line. This led to a decision to strengthen the business through product licensing and the acquisition of a competitor's business.
